Draft:Foundation Software

Foundation Software

Foundation Software is a US-based developer and provider of construction software and services. Specializing in the commercial sector, the company is headquartered in Strongsville, Ohio, and has been owned by private equity firm Thoma Bravo since 2020.

History

Founding and Early Years

Foundation Software was founded in 1985 by Fred Ode, who served as the company's first programmer.[1] He began developing his construction accounting software, eventually named FOUNDATION®, to address the unique accounting and financial management needs of the construction industry, which traditional accounting software often failed to meet.

Throughout the late 1980s and 1990s, Foundation Software grew steadily as the construction industry increasingly adopted computer-based accounting systems.

The company initially focused on serving small to mid-sized contractors, helping establish a customer base in the Midwest before expanding nationally to serve contractors of all sizes, from specialty trade firms to large commercial operations.

Product Evolution

In its first two decades, Foundation Software primarily offered desktop-based solutions.[2] The company's software, FOUNDATION, was built on Microsoft SQL Server, providing robust database capabilities for construction accounting.

Digital Transformation

As technology evolved and contractors increasingly needed access to data from dispersed jobsites and remote locations, Foundation Software began its transformation from desktop to cloud-based solutions.

This shift enabled real-time data synchronization, mobile access and improved collaboration between field and office teams.

Payroll Service Launch

In 2006, Foundation Software, wanting to address the challenges of construction payroll — including certified payroll requirements, prevailing wage compliance, union reporting and multi-state tax filing — created Payroll4Construction, a construction payroll service built off of the FOUNDATION system.[1]

Growth and Facility Expansion

In 2013, the company relocated its headquarters within the Cleveland area to Strongsville, Ohio, tripling its office space to accommodate its expanding team and operations.[3] This move cemented the company's commitment to the Northeast Ohio region.

Additionally, the company experienced significant employee and customer growth, particularly accelerating in the 2010s and 2020s, growing to approximately 285 employees by 2025.[4]

Ownership and Acquisitions

In August 2020, private equity firm Thoma Bravo acquired Foundation Software.[5] The acquisition was financed by funds managed by Goldman Sachs Asset Management's Private Credit Group, BlackRock US Private Credit and Interbank.

Foundation then looked to increase their portfolio offerings through strategic development and M&A. The company completed several acquisitions, including

  • McCormick Systems (May 2021): Developer of McCormick, the takeoff & estimating software for electrical, plumbing and mechanical trades.[6]
  • Estimating Edge (January 2022): Creator of The EDGE® — takeoff and estimating for the roofing, concrete, fireproofing, interior & exterior finishing trades.[7]
  • AboutTime Technologies (May 2023): Eventually rebranded to “WorkMax,” the company developed the WorkMax mobile app — a time tracking and mobile resource management solution.
  • Vendrix, Inc.  (June 2025): A construction financial management platform, which was renamed FOUNDATION Pay®, that offers corporate cards and bill pay features.[8]

These acquisitions allowed Foundation Software to provide end-to-end solutions for construction businesses, from pre-construction estimating through project completion and financial closeout.
